Introduction
These Terms of Use govern access to and use of the Verixxa Platform and the related products and services made available by Verixxa Holdings LLC. By accessing or using the Platform, Users acknowledge that they have read, understand and agree to be bound by these Terms, together with the Privacy and Data Policy, Community and Safety Standards, Disclosure Policy and Copyright and DMCA Policy, all of which form an integrated legal framework governing use of the Service.
These Terms apply globally, and Users are responsible for ensuring that their use of the Platform complies with all local laws and regulatory requirements applicable in their region.
Verixxa will comply with applicable laws and regulatory requirements in the regions where the Service is provided and to the extent that such laws apply to the operation of a global user-generated content platform.
1. Definitions
Capitalized terms used in these Terms that relate to data protection, privacy or user information (including “Personal Data,” “User Content,” and “Identifiable User Content”) have the meanings assigned to them in the Privacy and Data Policy.
The following definitions apply specifically to these Terms:
- “Verixxa” refers to Verixxa Holdings LLC, a limited liability company organized under the laws of Texas, United States, and the Verixxa branded platform operated by that entity.
- “Service” refers to the Verixxa mobile application, website, APIs, software, features, and related products provided under the veriXXa brand.
- “Platform” refers to the user generated content and discovery environment provided through the Service.
- “Company” refers to Verixxa Holdings LLC.
- “User” or “Users” refers to individuals who access or use the Service.
2. Eligibility and Account Requirements
Use of the Service is permitted only for individuals who meet the minimum age requirements set out in the Privacy and Data Policy. By creating an account or using the Platform, Users represent that they satisfy all applicable age thresholds, that they are legally permitted to use the Service in their jurisdiction, and that all information they provide during registration and account management is accurate and complete.
Minimum age requirements vary by region. Where required by applicable law, parental consent and age-verification measures will apply.
Verixxa may suspend, restrict or remove any account that violates these Terms, that provides inaccurate information, or that is associated with prohibited conduct.
3. Account Authentication and Security
Access to the Platform may require authentication through methods such as Apple Sign-In, Google Sign-In or verified email credentials. Users are responsible for maintaining the confidentiality of their login details and for all activities conducted under their account. Verixxa may require Users to re-authenticate or verify identity where necessary for security, integrity or compliance purposes.
4. Permission to Use the Service
Subject to compliance with these Terms, Verixxa grants Users limited, revocable and non-transferable permission to access and use the Service for lawful purposes. This permission confers no ownership, intellectual property rights or entitlement to continued availability of the Service. Verixxa may modify, suspend or discontinue any part of the Platform at its discretion.
5. Ownership of User Content and Rights Granted to Verixxa
Users retain ownership of all User Content they submit or upload to the Platform. However, because the Platform requires the ability to host, distribute and display User Content across different devices, regions and discovery surfaces, Users grant veriXXa a worldwide, non-exclusive and royalty-free license to host, store, reproduce, process, adapt for technical purposes, display, distribute and transmit their User Content solely for the operation, optimization and safety of the Platform.
This license continues until the User deletes the applicable content or deletes their account, subject to the limited retention and legal compliance requirements described in the Privacy and Data Policy. Users confirm that they possess all necessary rights to submit their User Content and that such submission does not infringe the rights of any third party.
6. Public Visibility, User Responsibility and Identifiable User Content
The Platform enables discovery and sharing of reviews, opinions, photos, entries and related content. User Content may be visible publicly or to other Users depending on the visibility settings chosen at the time of submission. Identifiable User Content may contain Personal Data and may therefore display a User’s likeness, name or other identifying elements if submitted in that form.
Users are solely responsible for the User Content they choose to publish, including any Personal Data they make accessible to others. Users must not upload content for which they lack permission, content that reveals private information about others, or content that is misleading, unlawful or harmful.
7. Prohibited Conduct
Users may not engage in activity that interferes with the proper functioning, security or integrity of the Platform. This includes attempts to circumvent technical protections, scraping or harvesting data, creation of fraudulent, misleading or automated accounts, distribution of spam or deceptive content, impersonation of others, posting of infringing or unlawful material, or any activity that threatens the rights or safety of other Users.
Users are prohibited from tampering with or attempting to bypass link monetization processes, affiliate conversions or any systems associated with Verixxa’s commercial partnerships.
8. Moderation, Enforcement and Platform Integrity
Verixxa may review, restrict, remove or decline to display any User Content where necessary to uphold Platform integrity, enforce these Terms, comply with legal obligations or maintain safety. Verixxa may also restrict or terminate User accounts, limit certain features or take any other action reasonably required to protect the Platform and its Users.
Verixxa does not guarantee real-time or comprehensive moderation and does not assume liability for User Content.
Verixxa has no obligation to remove or alter User Content solely because a business disputes it or claims reputational harm.
Verixxa will act on reports of illegal or harmful content in accordance with applicable law and provides mechanisms for Users to report such content. Users may report illegal, infringing or harmful content through the in-app reporting tools or by contacting: legal@verixxa.com.
Copyright complaints and takedown requests are handled in accordance with the Verixxa Copyright and DMCA Policy, which forms part of these Terms.
9. Intellectual Property and Restrictions
All intellectual property rights in the Platform, including software, design elements, interfaces, trademarks and branding, remain the exclusive property of Verixxa. Users may not copy, modify, reverse engineering, decompile, reproduce or attempt to derive the source code or structural components of the Service. No license is granted to use Verixxa trademarks or branding except with express written permission.
10. Affiliate Monetization and External Links
The Platform may automatically process outbound links using third-party affiliate networks such as Skimlinks. This enables Verixxa to earn commission on qualifying transactions without modifying the visibility, placement or editorial nature of User Content. The presence of affiliate processing does not constitute endorsement of third-party products or services.
Users may include links within their submissions but may not attempt to alter, manipulate or circumvent any monetization processes used by Verixxa. External websites and services are governed by their own terms, and Verixxa is not responsible for those external entities.
Ranking or visibility of User Content is determined by Verixxa’s systems and policies. veriXXa does not guarantee placement, traffic or business outcomes.
11. Third-Party Integrations
The Service incorporates hosting, analytics, mapping, authentication, affiliate processing and other technology provided by third parties. Verixxa is not responsible for the availability, accuracy or conduct of these third-party services, and Users acknowledge that such services may process data in accordance with their own privacy and operational policies.
12. Suspension, Termination and Account Closure
Verixxa may suspend or terminate access to the Platform for any breach of these Terms, for safety or integrity concerns, or where required by law. Users may close their accounts at any time. The consequences of account deletion, including content retention obligations and service limitations, are outlined in the Privacy and Data Policy.
13. Disclaimers
The Platform is provided on an “as is” and “as available” basis. Verixxa makes no representations or warranties regarding the availability, reliability, accuracy or suitability of the Platform or any User Content. Verixxa disclaims all warranties to the maximum extent permitted by applicable law.
Reviews, photos, lists and entries on Verixxa represent User opinions and personal experiences. Verixxa does not investigate or verify User Content and does not guarantee that any User Content is factual. Businesses acknowledge that opinions posted by Users may be negative, subjective or critical.
User Content does not constitute professional, financial, legal, medical or other advice, and Verixxa does not endorse, verify or guarantee any User Content. Users should rely on their own judgment when using the Platform.
14. Limitation of Liability
To the fullest extent permitted by law, Verixxa is not liable for indirect, incidental, consequential or punitive damages, nor for any loss of data, loss arising from User Content, or harm arising from third-party services. Any liability that cannot be excluded is limited to the extent permitted by applicable law.
These disclaimers and limitations apply only to the extent permitted by the law of the User’s country of residence.
15. Indemnification
Users agree to indemnify and hold Verixxa harmless from any claims, losses, liabilities or damages arising from their breach of these Terms, their misuse of the Platform or any infringement caused by their User Content.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas, United States. All disputes arising from or relating to these Terms are subject to the exclusive jurisdiction of the courts located in Texas.
17. Changes to These Terms
Material changes to this Policy will be communicated through the application or website as required by applicable law. The “Last Updated” date reflects the most recent revision.
